CookUnity: Oura Ring New Customer Promotion Official Terms and Conditions Effective Date: July 1 2026 • Promotion Period: July 1 2026 – October 1 2026 (Updated July 8 2026)

1. Promotion Overview

CookUnity, Inc. (“CookUnity,” “we,” or “us”) is offering eligible new customers a first-order discount (where applicable) and, upon reaching a qualifying order milestone, a free Oura Ring 5 (approximate retail value $399) (the “Promotion”). The specific discount and order milestone applicable to each customer depends on which promotional variant the customer is enrolled in, as described in Section 4. These Terms and Conditions (“Terms”) govern all six promotional variants.By enrolling in or otherwise participating in the Promotion, you agree to be bound by these Terms and by CookUnity’s general Terms of Service and Privacy Policy, each of which is incorporated herein by reference. In the event of a conflict, these Terms control with respect to the Promotion.This Promotion is entirely separate from, and may run concurrently with, CookUnity’s Oura Ring Referral Challenge. Customers may not combine or stack rewards across both programs.

2. Eligibility

To be eligible to participate in this Promotion, you must:

Be a legal resident of the fifty (50) United States or the District of Columbia, and be at least eighteen (18) years of age;Be a new CookUnity customer who has never previously held a CookUnity account or subscription;Subscribe to a paid CookUnity subscription plan during the Promotion Period through a CookUnity paid acquisition channel (e.g., paid social, display advertising, or other digital marketing channels), using a promotional offer code or tracked link that identifies you as eligible for this Promotion; andComply in full with these Terms.

Employees, officers, directors, contractors, and agents of CookUnity and its affiliates, as well as members of their immediate families and households, are not eligible to participate. Customers who have previously subscribed to CookUnity under a different name, email address, or payment method are not eligible.

3. Promotion Period

The Promotion begins July 1 2026 , and ends October 1 2026 (the “Promotion Period”). A customer must initiate their new subscription during the Promotion Period to be eligible. The qualifying order milestone (Order 4, 5, 6, or 8, as applicable) may be fulfilled after the close of the Promotion Period, provided the subscription was initiated during the Promotion Period.CookUnity reserves the right to extend, shorten, or otherwise modify the Promotion Period in its sole discretion upon reasonable notice to participants.

4. Promotional Variants

4.1 Summary of Variants

Six promotional variants are available. Each eligible customer is enrolled in exactly one variant based on the promotional channel, offer code, or link through which they subscribed. The variants are as follows:

The “First Order Discount” is applied as a percentage reduction to the customer’s first charged subscription order only. The “Oura Ring Unlocked After” column identifies the order number after which the Oura Ring 5 reward becomes claimable, subject to the conditions in Section 5.

4.2 Variant Assignment

Each customer is assigned to a single promotional variant at the time of subscription based on the offer code or tracked link used. Variant assignment is final and cannot be changed after enrollment. CookUnity is not responsible for customers who subscribe through a channel not associated with a promotional variant.

4.3 First Order Discount

The applicable discount (20% or 30%) will be automatically applied to the customer’s first subscription order at checkout. The discount applies to the base subscription meal cost and does not apply to shipping fees, taxes, or any add-on items unless expressly stated in the promotional creative. The discount is applied to one order only and will not carry over to subsequent orders. Certain promotional variants (Promo E and Promo F) carry no first-order discount (0% off); for those variants, the customer’s first subscription order is charged at the standard price and counts as Order 1 toward the qualifying order milestone.The first order discount has no cash value, is non-transferable, and may not be combined with any other discount, promo code, or offer unless expressly permitted by CookUnity.

5. Oura Ring 5 Reward

5.1 Eligibility to Claim

A customer becomes eligible to claim the Oura Ring 5 reward when:

The customer has been successfully charged for the number of subscription orders required under their assigned variant (Order 4, 5, 6, or 8, as applicable);Each of those orders has been paid in full and not subsequently reversed, charged back, refunded, or disputed;The customer’s subscription remains active and in good standing at the time of claiming; andThe customer has not violated these Terms or CookUnity’s general Terms of Service.

For the avoidance of doubt, orders that are skipped, paused, credited, or refunded do not count toward the qualifying order milestone.

5.2 Supply Cap

The total number of Oura Ring 5 units available under this Promotion is limited to 300 units, awarded on a first-come, first-served basis determined by the date and time on which CookUnity confirms a customer’s qualifying order milestone. Once the supply cap is reached, no further Oura Ring 5 rewards will be available under this Promotion, regardless of whether additional customers subsequently reach their qualifying order milestone.CookUnity will use commercially reasonable efforts to notify customers when the supply is nearing exhaustion, but is not obligated to do so. Customers who reach their qualifying order milestone after the supply cap has been exhausted will not receive the Oura Ring 5 and will not receive a substitute reward unless otherwise expressly communicated by CookUnity.

5.3 Claiming the Reward

The Oura Ring 5 reward is not issued automatically. To receive the reward, an eligible customer must:

Log in to their CookUnity account on the CookUnity website or mobile application after their qualifying order (Order 4, 5, 6, or 8, as applicable) has been successfully charged;Navigate to the promotional reward redemption page as directed in the notification sent by CookUnity;Complete any required identity verification or confirmation steps presented at the time of redemption.

Failure to claim the reward within thirty (30) days of receiving CookUnity’s redemption notification will result in forfeiture of the reward. CookUnity is not responsible for unclaimed rewards. The online claim process is the sole method of reward delivery; CookUnity will not fulfill rewards by any other means.

5.4 Fulfillment

Customers who successfully claim the reward will receive fulfillment instructions and a redemption mechanism (such as a unique code or direct shipment link) via the email address associated with their CookUnity account. Delivery is subject to product availability and standard shipping timelines. CookUnity makes no warranty regarding the Oura Ring 5 beyond what is provided by the manufacturer; all product warranties, if any, are solely those of Oura Health, Inc.

5.5 Non-Transferability

The Oura Ring 5 reward is personal to the eligible customer and may not be transferred, sold, or assigned. The reward has no cash value and cannot be exchanged for a cash equivalent or any other product or service.

6. Subscription Requirements and Order Counting

To progress toward and ultimately claim the Oura Ring 5 reward, the customer must maintain an active, paid CookUnity subscription. The following rules apply to order counting:

Only orders that are successfully charged to the customer’s payment method count toward the qualifying order milestone.Skipped, paused, refunded, credited, or reversed orders do not count.The first order on which the first-order discount is applied counts as Order 1 toward the milestone.If a customer cancels their subscription before reaching the qualifying order milestone and subsequently reactivates, CookUnity reserves the right to determine, in its sole discretion, whether prior orders under the original subscription count toward the milestone. Generally, reactivated subscriptions will be treated as new subscriptions for purposes of this Promotion.Orders placed under a different account, email address, or household will not be aggregated toward a single customer’s milestone.

7. Fraud and Disqualification

7.1 Prohibited Conduct

The following conduct is strictly prohibited and will result in immediate disqualification:

Creating multiple accounts or using multiple email addresses, devices, or payment methods to claim more than one promotional offer or reward;Using fictitious, stolen, or unauthorized payment credentials;Misrepresenting eligibility as a new customer;Using bots, scripts, or automated tools to enroll in or manipulate the Promotion;Any other conduct that CookUnity determines, in its reasonable judgment, constitutes abuse or manipulation of the Promotion.

7.2 Consequences of Disqualification

Upon disqualification:

Any pending Oura Ring 5 reward will be voided and will not be fulfilled.Any first-order discount that was applied may be reversed, and CookUnity reserves the right to charge the full undiscounted price for the applicable order.CookUnity may suspend or terminate the customer’s account in accordance with its general Terms of Service.Where disqualification arises from fraud or material misrepresentation, CookUnity reserves the right to seek recovery of the retail value of any reward already delivered.

CookUnity’s determination regarding fraud and disqualification is final and binding. If you believe you have been incorrectly disqualified, you may contact CookUnity’s support team at legal@cookunity.com within fifteen (15) days of receiving notice of disqualification.

8. Non-Combination with Other Offers

The first-order discount offered under this Promotion may not be combined with any other discount, promotional code, referral credit, or offer unless expressly authorized by CookUnity in writing. This Promotion is entirely separate from CookUnity’s Oura Ring Referral Challenge; a customer who participates in both programs may earn rewards under each program independently, but may not use referral credits to satisfy the order milestone requirements of this Promotion, and may not receive more than one Oura Ring 5 across both programs.

9. Modifications and Termination

CookUnity reserves the right to modify, suspend, or terminate this Promotion at any time, for any reason, in its sole discretion, including circumstances involving fraud, supply constraints, technical errors, or regulatory requirements. In the event of termination, CookUnity will use commercially reasonable efforts to honor rewards for customers who have already reached their qualifying order milestone prior to the termination date.Material changes to these Terms will be communicated via the CookUnity website or through account notifications. Continued participation in the Promotion after notice of changes constitutes acceptance of the revised Terms.

10. Taxes

The Oura Ring 5 reward may constitute taxable income to the recipient under applicable federal, state, and local tax laws. Each participant is solely responsible for all tax obligations arising from receipt of a reward. CookUnity may be required to report the fair market value of rewards to the Internal Revenue Service and applicable state tax authorities, and may issue an IRS Form 1099 or other tax documentation as required by law. CookUnity does not provide tax advice; participants are encouraged to consult a qualified tax advisor regarding their individual tax obligations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COOKUNITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS PROMOTION OR THESE TERMS. COOKUNITY’S TOTAL AGGREGATE LIABILITY TO ANY PARTICIPANT SHALL NOT EXCEED THE RETAIL VALUE OF THE OURA RING 5 REWARD (aprox $399). CookUnity is not responsible for: (i) technical failures or malfunctions of any kind; (ii) failed, late, or misdirected order processing; (iii) failure of any order to be properly tracked due to technical issues; or (iv) printing, typographical, or other errors in these Terms or in any promotional materials.

12. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to this Promotion shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved informally shall be submitted to binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association. The parties waive any right to a jury trial with respect to any such dispute. Notwithstanding the foregoing, CookUnity may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent fraud or protect its intellectual property rights.

13. General Provisions

Entire Agreement. These Terms, together with CookUnity’s general Terms of Service and Privacy Policy, constitute the entire agreement between CookUnity and participants with respect to this Promotion.Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.No Waiver. CookUnity’s failure to enforce any provision shall not constitute a waiver of its right to enforce such provision in the future.No Agency. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between CookUnity and any participant.Contact.
