Official Terms and Conditions

Effective Date: September 18, 2026 Enrollment Status: Open unless an enrollment cutoff notice is posted on this page.

These Terms apply to eligible customers who enroll in the Promotion on or after the Effective Date. Customers who enrolled before the Effective Date remain governed by the terms and promotional variant in effect when they enrolled, as described in Section 14.

1. Promotion Overview

CookUnity, Inc. ("CookUnity," "we," or "us") is offering eligible new customers the opportunity to earn one Oura Ring 5, silver or black in color (approximate retail value $399), after completing the qualifying paid-order milestone assigned to them at enrollment (the "Promotion"). The Promotion does not include a discount: all orders are charged at the prices disclosed at checkout.

By enrolling in or participating in the Promotion, you agree to these Terms and CookUnity's general Terms of Service and Privacy Policy, each incorporated by reference. If there is a conflict, these Terms control solely with respect to the Promotion.

This Promotion is separate from CookUnity's Oura Ring Referral Challenge and may not be combined with that challenge or any other offer except as CookUnity expressly permits in writing.

2. Eligibility

To participate, you must:

• be a legal resident of one of the fifty (50) United States or the District of Columbia and at least eighteen (18) years old;

• be a new CookUnity customer who has never previously held a CookUnity account or subscription;

• enroll in a paid CookUnity subscription while the Promotion is open to new enrollment and while located within CookUnity's then-current service area;

• enroll through an eligible CookUnity paid-acquisition channel using the qualifying tracked link or offer code; and

• comply with these Terms.

Employees, officers, directors, contractors, and agents of CookUnity and its affiliates, and members of their immediate families or households, are not eligible. A person who previously subscribed under a different name, email address, account, or payment method is not a new customer and is not eligible.

3. Enrollment Period

The Promotion is open to eligible new enrollments beginning on the Effective Date and continuing until CookUnity posts an enrollment cutoff under Section 9 (the "Enrollment Period"). A customer must complete eligible enrollment during the Enrollment Period. CookUnity may close the Promotion to new enrollments at any time, including if the Promotion is not meeting its business objectives, subject to the prospective-cutoff and participant-protection requirements in Section 9.

A customer who completes eligible enrollment before the effective cutoff may complete the applicable qualifying order milestone after new enrollment has closed.

4. Promotional Variants

4.1 Summary of Variants

Each eligible customer is enrolled in exactly one of the following variants based on the qualifying tracked link, offer code, or acquisition channel used at enrollment:

The customer will be charged the standard price disclosed at checkout for the first order and each later order. The first successfully completed order counts as Qualifying Order 1.

4.2 Variant Assignment

Variant assignment occurs at enrollment and is final. CookUnity will identify the assigned variant through the promotional enrollment experience or a retainable account or email confirmation. The assigned milestone, reward, and eligibility rules will not be increased or materially impaired for a customer who completed eligible enrollment before a cutoff or later revision. CookUnity is not responsible for enrollments completed through a channel, link, or code that is not associated with this Promotion.

5. Oura Ring 5 Reward

5.1 Earning the Reward

A customer earns one Oura Ring 5 when CookUnity verifies that:

• the customer completed the number of Qualifying Orders required by the assigned variant within the defined time period from assignment

• the customer's subscription was active and in good standing when the milestone was completed; and

• the customer complied with these Terms and CookUnity's general Terms of Service.

There is no overall supply cap on rewards promised to eligible customers. Each eligible customer who timely completes the applicable milestone and claim process will receive one reward.

5.2 Qualifying Orders and Cancellation

A "Qualifying Order" is a CookUnity subscription order that is delivered, successfully charged to the payment method on the enrolled account, and not refunded, credited, reversed, charged back, or disputed in whole or in part. Skipped, paused, canceled, failed-payment, refunded, credited, reversed, charged-back, or disputed orders do not count.

The Promotion does not limit the customer's right to pause or cancel a subscription through CookUnity's ordinary cancellation process. Cancellation before the assigned milestone is completed ends eligibility for the reward. Reactivation does not restore Promotion eligibility unless CookUnity confirms otherwise in writing. Cancellation after the milestone has been completed does not invalidate an earned reward or shorten the claim period.

Orders placed through a different account, email address, or household will not be combined with orders on the enrolled account.

5.3 Claiming the Reward

After the assigned milestone is verified, CookUnity will send a redemption notice to the email address associated with the enrolled account or make the notice available in the customer's CookUnity account. To receive the reward, the customer must follow the stated redemption instructions, complete any reasonably required identity or eligibility verification, and submit the claim within thirty (30) days after the redemption notice is sent or made available.

Failure to claim within that 30-day period results in forfeiture. The online redemption process described in the notice is the sole method of claiming the reward.

5.4 Fulfillment

Customers who timely complete the claim process will receive fulfillment instructions and a redemption mechanism, such as a unique code or direct-shipment link, at the email address associated with their CookUnity account. CookUnity may provide a reasonably equivalent fulfillment method if the advertised method becomes unavailable. Delivery is subject to standard shipping timelines. Product color, finish, or size selection may be subject to availability, but product availability will not eliminate an earned reward.

CookUnity makes no warranty regarding the Oura Ring 5 beyond any warranty provided by the manufacturer. Manufacturer warranties, if any, are solely those of Oura Health, Inc.

5.5 Non-Transferability

The reward is personal to the eligible customer and may not be transferred, sold, or assigned. It has no cash value and may not be exchanged for cash or another product or service, except that CookUnity may provide a reward of equal or greater value if legally required or if the Oura Ring 5 becomes permanently unavailable.

6. Subscription Terms

The paid CookUnity subscription automatically renews at the frequency and price disclosed during enrollment until canceled. The applicable meal price, order cadence, payment timing, and cancellation instructions are presented during checkout and are also governed by CookUnity's general Terms of Service. This Promotion does not change those subscription terms or make cancellation more difficult.

7. Fraud and Disqualification

7.1 Prohibited Conduct

The following conduct may result in disqualification:

• creating multiple accounts or using multiple names, email addresses, devices, households, or payment methods to obtain more than one promotional reward;

• using fictitious, stolen, or unauthorized identity or payment information;

• misrepresenting eligibility as a new customer;

• using bots, scripts, or automated tools to enroll in or manipulate the Promotion; or

• other conduct that CookUnity reasonably determines is fraudulent, abusive, or intended to circumvent these Terms.

7.2 Consequences and Review

Upon a good-faith determination of ineligibility or prohibited conduct, CookUnity may void a pending reward, suspend or terminate the account as permitted by its general Terms of Service, and, for fraud or material misrepresentation, seek recovery of a reward already delivered. Before denying an otherwise earned reward, CookUnity may request information reasonably necessary to verify eligibility.

A customer who believes a disqualification is incorrect may contact legal@cookunity.com within fifteen (15) days after receiving notice.

8. Non-Combination with Other Offers

The Promotion may not be combined with another discount, promotional code, reward, or offer unless CookUnity expressly authorizes the combination in writing. The Promotion is separate from CookUnity's Oura Ring Referral Challenge, and no customer may receive more than one Oura Ring 5 across the two programs.

9. Prospective Enrollment Cutoff; Modifications

CookUnity may close the Promotion to new enrollments at any time, including if the Promotion is not meeting its business objectives. To do so, CookUnity will post a clear notice on this page stating the effective cutoff date and time, including the applicable time zone, and will remove the Promotion from the affected enrollment channels. The cutoff applies only to persons who have not completed eligible enrollment before that stated date and time.

Each customer who completes eligible enrollment before the cutoff remains eligible to complete the assigned 4- or 6-Qualifying-Order milestone and, after satisfying the Terms in effect at enrollment, to claim one Oura Ring 5 within the stated claim period. Closing new enrollment will not change an enrolled customer's assigned milestone, eligibility rules, reward, or claim deadline. CookUnity will send enrolled customers a retainable email or account notice confirming that enrollment has closed to new customers and that their existing Promotion rights remain in effect.

CookUnity may make prospective changes to the Promotion or these Terms for persons who have not yet enrolled. CookUnity may also make changes required by law, to address fraud, abuse, or technical errors, or to benefit enrolled customers. No change will retroactively increase an enrolled customer's milestone or materially reduce an enrolled customer's in-progress or earned rights. The terms accepted at enrollment control for that customer unless a later change is required by law or is more favorable to the customer.

10. Taxes

The reward may constitute taxable income under applicable federal, state, or local law. Each customer is responsible for taxes arising from receipt of the reward. CookUnity may report the reward's fair market value and issue an IRS Form 1099 or other required tax documentation. CookUnity does not provide tax advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COOKUNITY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE PROMOTION OR THESE TERMS. COOKUNITY'S TOTAL AGGREGATE LIABILITY TO A PARTICIPANT WILL NOT EXCEED THE APPROXIMATE RETAIL VALUE OF ONE OURA RING 5 ($399).

CookUnity is not responsible for technical failures; failed, late, or misdirected order processing or communications; a failure to track an order caused by circumstances outside CookUnity's reasonable control; or typographical errors. Nothing in these Terms limits liability or rights that cannot lawfully be limited.

12. Governing Law and Dispute Resolution

These Terms and disputes arising from the Promotion are governed by New York law, without regard to conflict-of-law principles. Dispute-resolution provisions in CookUnity's general Terms of Service, including any applicable arbitration agreement and exceptions, apply to the Promotion. Nothing in this Section eliminates a non-waivable right or remedy under applicable law.

13. General Provisions

Entire Agreement. These Terms, together with CookUnity's general Terms of Service and Privacy Policy and the specific promotional enrollment confirmation, constitute the agreement between CookUnity and the customer regarding the Promotion.

Severability. If a provision is held invalid or unenforceable, the remaining provisions remain in effect.

No Waiver. A failure to enforce a provision does not waive the right to enforce it later.

No Agency. These Terms do not create an agency, partnership, joint venture, or employment relationship.

Privacy. CookUnity may use account, identity, payment, order, email, shipping, and related records as described in its Privacy Policy to administer the subscription, verify eligibility, communicate with customers, prevent fraud, and fulfill rewards.

14. Customers Enrolled Before September 18, 2026

The revised Terms above do not change the rights of a customer who completed eligible enrollment under an earlier version of the Promotion. That customer remains governed by the terms and promotional variant in effect at enrollment, including the applicable first-order discount (if any), qualifying-order milestone, reward, order-counting rules, and claim period. Earlier variants included 20% or 30% first-order discounts with milestones at Order 4 or Order 5, and no-discount variants with milestones at Order 6 or Order 8. CookUnity will not apply the revised 4- or 6-order variants to an earlier enrollment unless doing so is more favorable to the customer and CookUnity confirms that change in writing.

The closure of an earlier enrollment period, or a cutoff under Section 9, does not prevent a timely enrolled customer from completing the applicable milestone or claiming an earned reward under the terms accepted at enrollment.
